By using the Service, you agree to these Terms. Operator: Blue Eye Business Group, Inc. DBA ON UGC ("ON UGC", "we", "us") Contact: ### 1) Eligibility You must be legally able to enter into a binding contract to use the Service. You are responsible for ensuring your use complies with applicable laws and platform rules where you publish content. ### 2) Accounts and security * You are responsible for maintaining the confidentiality of your login credentials. * You are responsible for all activity that occurs under your account. * Tell us immediately if you suspect unauthorized access. ### 3) The Service (AI-generated content) * The Service uses AI to generate content. Outputs may vary and may be inaccurate. * You are responsible for reviewing Outputs before using or publishing them. * ON UGC does not guarantee that Outputs are accurate, unique, non-infringing, or suitable for any specific purpose. * Additional limitations and no-guarantee language are described in the AI Disclaimer (No Guarantee of Results). ### 4) Acceptable use You agree not to use the Service to: * violate any law or regulation; * infringe or misappropriate intellectual property, privacy, publicity, or other rights; * generate or distribute illegal content or content that facilitates wrongdoing (fraud, scams, malware, hacking, violence); * harass, threaten, or exploit others; * attempt to bypass safety controls, rate limits, or access restrictions; * scrape, probe, or reverse engineer the Service except where permitted by law. We may suspend or terminate accounts for prohibited use. ### 5) Subscriptions, tokens, and billing #### 5.1 Subscriptions The Service may offer paid monthly subscriptions (e.g., Starter/Maker/Visionary). Subscriptions are billed in advance on a recurring monthly basis until canceled. #### 5.2 Tokens (monthly refresh; no rollover) Subscriptions include a monthly token allocation. * Tokens refresh each billing period. * Unused subscription tokens do not roll over to the next billing period. * Token allocations and token costs per feature may change over time as the product evolves. #### 5.3 Billing, renewals, and failed payments * You authorize ON UGC and our payment processor to charge your payment method for recurring subscription fees. * If your payment fails, your subscription may be suspended or canceled. * A billing interruption (including cancellation due to failed payment) may end any promotional or locked-in pricing. #### 5.4 Price changes We may change subscription prices for new or renewing subscriptions. Promotional pricing is governed by the Promo Terms for the applicable offer. #### 5.5 Promotional discounts and “locked-in” pricing If your discount is described as locked-in, it generally means your discounted price continues only while your subscription remains active and unchanged. Events that may end locked-in pricing include: * canceling your subscription; * changing plans (upgrade/downgrade); * payment failures, lapses, or subscription cancellation by the billing provider; * chargebacks or payment reversals; * switching to a different promotion. If underlying AI/provider costs materially increase, ON UGC may need to modify or discontinue locked-in discounts for affected subscriptions. ### 6) Cancellation and refunds * You can cancel your subscription at any time. * For monthly subscriptions, cancellation stops future billing; access continues until the end of the current billing period. * Refunds are governed by the Refund Policy. Unless required by law, we generally do not refund partial months or unused tokens. ### 7) Data retention (high level) Generated media may be retained for up to 30 days from creation and may be deleted automatically after that period. See the Privacy Policy and the Data Retention & Deletion Policy for details. ### 8) Intellectual property #### 8.1 Our IP We retain all rights in the Service, including software, branding, and designs, except as expressly stated. #### 8.2 Your Inputs You retain rights you have in the content you upload to the Service ("Inputs"). You grant ON UGC a license to process your Inputs solely to provide and improve the Service, prevent abuse, and support billing and operations. #### 8.3 Outputs As between you and ON UGC, you may use Outputs you generate, subject to these Terms, our policies, and applicable law. We do not guarantee Outputs will be unique or non-infringing. ### 9) Third-party services The Service may integrate third-party services (for example, payment processors and AI providers). Your use of third-party services may be subject to their terms. ### 10) Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON UGC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ### 11) Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON UGC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ON UGC FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. ### 12) Termination We may suspend or terminate your access to the Service if we believe you violated these Terms, if required to comply with law, or to protect users or the Service. ### 13) Changes to these Terms We may update these Terms from time to time. If we make material changes, we will provide notice where reasonably practicable.
