The Program is operated by Blue Eye Business Group, Inc. d/b/a ON UGC ("ON UGC," "we," "us," "our"). By applying to, enrolling in, or participating in the Program, you ("Affiliate," "you," "your") agree to these Affiliate Terms. If you do not agree, do not participate in the Program. ### 1) Definitions **"Affiliate Account"** means your approved Program account with ON UGC. **"Affiliate Link"** means a unique tracking URL we provide to you. **"Affiliate Code"** means a unique promo/referral code we provide to you. **"Cookie Window"** means the period during which a referral may be attributed to you following a click on your Affiliate Link. **"Qualified Purchase"** means a purchase of an ON UGC paid plan or other eligible product that (a) is tracked to you under Section 4, (b) is not excluded under Section 5, and (c) is not later refunded, charged back, canceled, reversed, or deemed fraudulent or abusive. **"Generated Revenue"** (the basis for Commissions) means the amount actually paid to and received by ON UGC from a Qualified Purchase, calculated after applying any discounts, promo codes, and Credits, and excluding: (a) taxes, (b) refunds and chargebacks, (c) amounts not actually received (including failed, reversed, or disputed payments), and (d) any other amounts we are legally required to remit. For clarity, if a transaction is later refunded or charged back (in whole or in part), the corresponding Generated Revenue is reduced accordingly. **"Commission"** means the cash commission you may earn on Qualified Purchases, as described in Section 6. **"Credits"** means ON UGC in-app credits, tokens, or account credits that may be awarded under the Program, as described in Section 7. ### 2) Eligibility; Application; Approval 2.1 **Application.** Participation may require an application and identity, tax, and payment details. 2.2 **Approval and discretion.** We may accept or reject any applicant in our sole discretion, and we may suspend or terminate participation at any time as described in Section 17. 2.3 **Age and authority.** You represent that you are at least 18 years old and have authority to enter into these Affiliate Terms. If you participate on behalf of a company, you represent you have authority to bind that entity. 2.4 **Compliance.** You must comply with all applicable laws, regulations, and platform policies (including social media and ad platform rules). ### 3) Program Scope 3.1 **Non-exclusive.** The Program is non-exclusive. You may promote other products and services provided you do not violate Section 10 (Prohibited Conduct). 3.2 **No employment.** You are an independent contractor. Nothing creates a partnership, franchise, employment, or agency relationship. 3.3 **No authority.** You have no authority to bind ON UGC, make representations or warranties on our behalf, or offer refunds/credits/support on our behalf. ### 4) Tracking; Attribution; Cookie Window 4.1 **Tracking methods.** We may track referrals using one or more methods, including Affiliate Links, Affiliate Codes, cookies, device identifiers, or other attribution tools. 4.2 **Default attribution model.** Unless we state otherwise in writing, referrals are attributed on a last-click basis within the Cookie Window. 4.3 **Cookie Window (default).** The default Cookie Window is **30 days** from the user's click on your Affiliate Link. We may change the Cookie Window at any time, including for specific campaigns. 4.4 **Code-based attribution.** If a customer uses an Affiliate Code at checkout, we may attribute the purchase to you even if the customer did not click your Affiliate Link, subject to our fraud controls and the exclusions in Section 5. 4.5 **No guarantee; final decision.** Tracking is provided "as is." We do not guarantee that every referral will be tracked. We are not responsible for tracking failures caused by ad blockers, cookie restrictions, privacy settings, device changes, platform limitations, or third-party systems. **ON UGC's tracking and accounting records are the final authority** for (a) attribution, (b) Qualified Purchases, (c) Generated Revenue, and (d) Commission amounts. 4.6 **Self-referrals.** Unless explicitly authorized in writing, purchases by you, your household members, your employees/contractors, or your own business (or purchases made primarily to generate Commission or Credits) are not Qualified Purchases. ### 5) Excluded Transactions (Not Qualified Purchases) The following are not Qualified Purchases and do not earn Commission or Credits: a) Refunds, chargebacks, disputed payments, canceled transactions, free trials that do not convert to paid (if applicable), or transactions we reasonably suspect are fraudulent or abusive. b) Purchases made using stolen payment methods, fake accounts, bot traffic, or other abusive activity. c) Transactions where the customer's payment fails, is reversed, is not actually received, or is later reversed. d) Purchases generated through prohibited conduct in Section 10. e) Enterprise/custom deals or invoices, unless we explicitly confirm eligibility in writing. f) Purchases where attribution is credited to another partner under our rules (e.g., a different affiliate code used at checkout). g) Any transaction that violates applicable law or platform rules. ### 6) Commission (Cash) 6.1 **Commission rate.** Your Commission rate, eligible products, and any special rules will be shown in your Affiliate Account dashboard or in a written offer from ON UGC. We may offer different rates for different affiliates or campaigns. 6.2 **Calculation basis.** Commission is calculated as a percentage of **Generated Revenue** (unless we specify a different basis in writing). 6.3 **Holdbacks; reversals.** We may delay ("hold") or reverse Commissions for refunds, chargebacks, suspected fraud/abuse, policy violations, or compliance reviews. 6.4 **Minimum payout threshold.** Unless stated otherwise in writing, the minimum payout threshold is **$100 USD**. Amounts below the threshold roll over to the next period. 6.5 **Payout schedule.** Unless stated otherwise in writing, Commissions are paid **Net 30** after the end of the month in which the Qualified Purchase occurs (to allow for refunds/chargebacks and review). 6.6 **Payment method and fees.** Payments are made via the payment method we support (e.g., ACH, PayPal, Wise, etc.). You are responsible for accurate payout details and any bank, currency conversion, intermediary, or platform fees. 6.7 **Taxes and reporting.** You are responsible for all taxes on payments. We may require tax forms (e.g., W-9/W-8BEN or equivalents) before paying you. If you do not provide required tax information, we may withhold payouts or apply required withholding. 6.8 **Right to offset.** To the maximum extent permitted by law, we may offset amounts you owe us (including amounts due to refunds, chargebacks, fraud, abuse, or violations) against current or future Commissions and/or Credits. 6.9 **No other compensation.** Except for Commissions and/or Credits expressly described in your Affiliate Account or a written offer from ON UGC, you will not be entitled to any other compensation. ### 7) Credits (In-App) 7.1 **Credit awards.** We may award Credits to you for referrals, promotional activities, or milestones. Details may vary by campaign and will be described in your Affiliate Account or written offer. 7.2 **No cash value.** Credits have no cash value, are not legal tender, and are non-transferable unless we explicitly allow transfer. 7.3 **Expiration; forfeiture.** Credits may expire and may be forfeited upon Program termination, fraud, abuse, or account closure, to the extent permitted by law. 7.4 **Changes.** We may modify the Credits program, including conversion rates, expiration, eligible uses, or availability. ### 8) Your Content; Creative; Approvals 8.1 **Your content responsibility.** You are responsible for all content you publish, including accuracy, claims, disclosures, and compliance with platform rules. 8.2 **Optional review; takedown.** We may (but are not required to) review content and request changes or removal. You must comply promptly. 8.3 **No confidential information.** Do not publish non-public information about ON UGC, our internal metrics, customer data, or product roadmap unless we authorize in writing. ### 9) Privacy; Customer Data 9.1 **No collection of sensitive data.** You must not request, receive, store, or process customer login credentials, payment information, or private account information. 9.2 **Lawful marketing.** If you collect or process any personal data in your marketing activities, you are solely responsible for complying with all applicable privacy and marketing laws. ### 10) Prohibited Conduct (Strict) You must not, directly or indirectly: a) Make false, misleading, or unsubstantiated claims about ON UGC (including guarantees of results, earnings claims, "official partnership" implications, or claims about features we do not offer). b) Impersonate ON UGC or present yourself as ON UGC support, staff, or an authorized agent. c) Use spam or deceptive practices (unsolicited DMs/emails, comment spam, link stuffing, misleading redirects, cloaking). d) Generate or purchase fake traffic, fake leads, or fake purchases (bots, click farms, incentivized abuse). e) Use coupon scraping, deal sites, toolbars, browser extensions, or forced clicks unless we explicitly authorize it in writing. f) Engage in brand bidding on search engines (bidding on ON UGC, onugc, misspellings, or brand+coupon keywords), or register confusingly similar domains/social handles, unless we explicitly authorize it in writing. g) Use our trademarks/logos/brand assets except as permitted in Section 13. h) Violate privacy laws or collect personal data without proper legal basis and disclosures. i) Offer rebates, cash-back, or I'll pay you to sign up incentives, unless we explicitly authorize it in writing. j) Use malware, spyware, adware, or any method that overwrites, replaces, or interferes with another partner's tracking. ### 11) Required Disclosures (FTC / Platform Rules) 11.1 **Clear disclosure required.** You must clearly and conspicuously disclose your affiliate relationship whenever you promote ON UGC and include an Affiliate Link or Affiliate Code or otherwise have a material connection to ON UGC. 11.2 **Placement.** Disclosures must be unavoidable and near the endorsement (e.g., within the first lines of a caption, spoken in a video, and/or on-screen text). 11.3 **Examples (adapt as appropriate):** * Paid partnership / I may earn a commission if you sign up. * Affiliate link/code  I may receive a commission at no extra cost to you. 11.4 **You are responsible.** You are solely responsible for compliance with FTC endorsement guidelines and equivalent laws worldwide, plus platform policies. ### 12) Sanctions; Export Controls; Restricted Use You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive sanctions, and you are not a person or entity with whom ON UGC is prohibited from doing business under applicable sanctions or export control laws. You must not use the Program in any way that would cause ON UGC to violate applicable sanctions or export control laws. We may suspend or terminate you immediately to comply with law. ### 13) Trademarks; Brand Assets; License 13.1 **Limited license.** Subject to these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use ON UGC trademarks and brand assets we provide solely to promote ON UGC in compliance with these Affiliate Terms. 13.2 **Restrictions.** You may not modify our logos, create confusingly similar branding, or use our marks in a way that suggests you are ON UGC or that ON UGC endorses you beyond the affiliate relationship. 13.3 **Revocation.** We may revoke permission to use our brand assets at any time. ### 14) Audit; Compliance; Cooperation 14.1 **Cooperation.** You agree to cooperate with reasonable compliance inquiries, including confirming your marketing channels and providing examples of placements/disclosures. 14.2 **Records.** If we reasonably suspect fraud or a material violation, we may request reasonable information to verify compliance (e.g., traffic sources, ad placements). Failure to provide requested information may result in withholding, suspension, or termination. ### 15) Modifications to the Program or Terms We may change the Program at any time, including Commission rates, attribution rules, Cookie Window, payout timing, eligible products, and these Affiliate Terms. Changes apply prospectively from the date we post or communicate them, unless we state otherwise. ### 16) Suspension; Withholding; Investigations We may suspend your participation, withhold unpaid Commissions and/or Credits, or investigate activity if we suspect fraud, abuse, policy violations, or abnormal patterns. If a violation is confirmed, we may permanently withhold unpaid amounts to the extent permitted by law. ### 17) Termination 17.1 **Termination by you.** You may terminate participation by providing written notice (email is acceptable). 17.2 **Termination by us.** We may terminate or suspend your participation at any time, with or without notice, in our sole discretion. 17.3 **Effect of termination.** Upon termination, you must stop using Affiliate Links/Codes and remove ON UGC brand assets from your properties. We may pay outstanding Commissions that are valid and undisputed, subject to fraud review, holdbacks, offsets, and thresholds. Amounts tied to refunds, chargebacks, or violations are not payable. ### 18) Disclaimers THE PROGRAM AND ALL TRACKING, REPORTING, LINKS, CODES, AND DASHBOARD FEATURES ARE PROVIDED AS IS AND AS AVAILABLE. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ### 19) Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON UGC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE PROGRAM OR THESE AFFILIATE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON UGC'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PROGRAM OR THESE AFFILIATE TERMS WILL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. ### 20) Governing Law; Disputes These Affiliate Terms will be governed by the laws of the jurisdiction specified in ON UGC's Terms of Service, without regard to conflict of law rules. Any dispute arising out of or relating to the Program will be resolved in accordance with the dispute resolution provisions in ON UGC's Terms of Service. ### 21) Miscellaneous 21.1 **Assignment.** You may not assign these Affiliate Terms without our prior written consent. We may assign these Affiliate Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. 21.2 **Severability.** If any provision is held unenforceable, the remaining provisions will remain in effect. 21.3 **Electronic notices.** Notices may be provided electronically, including by email and/or through the Affiliate Account dashboard. 21.4 **Entire agreement.** These Affiliate Terms, together with any written offer or campaign terms we provide to you, constitute the entire agreement regarding the Program. ### 22) Contact Program questions, compliance issues, and notices: --- # Agent Instructions This documentation is published with GitBook.
